myEMSpath Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and myEMSpath, Inc., a Delaware C corporation (“myEMSpath,” “we,” “us,” or “our”). These Terms govern your access to and use of myemspath.com, our mobile application(s), and related services (collectively, the “Services”).
Browsewrap / Assent by Use. By accessing, browsing, or using the Services (including myemspath.com and the myEMSpath mobile application), you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies referenced in them (including our Privacy Policy). If you do not agree to these Terms, you must not access or use the Services.
BY ACCESSING OR USING THE SERVICES, YOU AGREE TO THESE TERMS. If you do not agree, do not use the Services.

2. Eligibility; Minors; Parent/Guardian Consent
The Services are intended for users in the United States.
If you are 18 years of age or older, you may use the Services.
If you are under 18, you may use the Services only with the consent and involvement of a parent or legal guardian who agrees to these Terms on your behalf. Your parent or legal guardian is responsible for your use of the Services and compliance with these Terms.
If you are a parent or legal guardian consenting for a Minor, you represent and warrant that you are authorized to do so and you agree to be bound by these Terms.
We do not knowingly collect sensitive personal information (as described in our Privacy Policy). Do not submit sensitive data through the Services.
3. Privacy
Our Privacy Policy explains how we collect, use, and share information. By using the Services, you agree that we may process your information as described in our Privacy Policy.
4. The Services
myEMSpath provides tools intended to help EMS professionals and related users manage certifications and career information, discover training and job opportunities, receive in-app notifications, and access career roadmap content.
Not a Certification Authority; No Verification. We are not a licensing or certification authority, and we do not verify certifications or credentials. You are solely responsible for verifying requirements and maintaining accurate records with the appropriate issuing authorities.
Third-Party Transactions. Training centers and employers may list courses and jobs through the Services. Users do not purchase courses or apply for jobs within the Services; instead, you may be directed to third-party websites or services to register, pay, apply, or complete transactions.
5. Account Types
The Services support the following account types:
Individual
Training Center
Employer
You agree to provide accurate information when creating and maintaining your account, and to keep your account information current.
6. User Content and Profile Visibility
“User Content” includes information you submit or upload through the Services such as certifications, work experience, qualifications, education/programs, and resumes.
Accuracy. You are responsible for the completeness and accuracy of your User Content and for keeping it updated.
Opt-In Visibility. Individual users may choose to opt in to allow employers and/or training centers to view certain profile information (“Opt-In Profile”). If you opt in:
You authorize us to display your Opt-In Profile to employers/training centers on or through the Services;
You understand that employers/training centers may use that information to contact you or evaluate opportunities; and
You may change visibility settings as provided in the Services (subject to reasonable processing time and caching).
License to User Content. You grant myEMSpath a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for formatting/compatibility), display, and distribute your User Content solely to operate, improve, and provide the Services, including displaying Opt-In Profiles as you direct.
You retain ownership of your User Content as between you and myEMSpath.
7. Acceptable Use
You agree not to (and not to allow anyone else to):
Use the Services for any unlawful, fraudulent, harmful, or deceptive purpose;
Submit false, misleading, or impersonating information (including credentials);
Attempt to bypass security, probe, scan, or test vulnerabilities, or interfere with the Services;
Upload malware or harmful code;
Harass, threaten, discriminate, or violate others’ rights;
Send spam, bulk solicitations, or unauthorized advertising;
Scrape, crawl, harvest, or extract data from the Services (including user profiles, resumes, course listings, or job listings) by automated means or otherwise, except where explicitly permitted by us in writing;
Use any automated system (bots, scripts, data mining tools) to access or use the Services without our prior written approval;
Collect or attempt to collect personal information from users except as expressly permitted by the Services and applicable law.
We may investigate and take action against suspected violations, including removing content, restricting functionality, suspending, or terminating accounts.
8. Training Centers and Employers: Subscriptions, Fees, and No Refunds
Pricing. Training centers and employers may access paid features via subscription:
$30 per month, or
$269 annually (paid upfront)
Payments. Payments are processed through Stripe. By subscribing, you authorize us (and Stripe) to charge your selected payment method on a recurring basis until you cancel, and you agree to Stripe’s terms.
No Refunds. All fees are non-refundable, including partially used billing periods, except where required by law.
Cancellation. You may cancel your subscription as provided in the Services. Cancellation stops future renewal charges but does not retroactively refund fees already paid.
9. Employer and Training Center Conduct; Anti-Discrimination; Compliance
Employers and training centers must use the Services responsibly and in compliance with applicable laws and regulations.
Without limiting any other obligations, employers and training centers agree that they will not:
Post, circulate, or act on listings or communications that are discriminatory or harassing, or that violate applicable anti-discrimination, equal opportunity, or workplace laws;
Use the Services to unlawfully screen out or target applicants based on protected characteristics;
Send spam, deceptive communications, or solicitations to users; or
Use user information obtained through the Services except for lawful, legitimate purposes related to employment or training opportunities, consistent with these Terms and applicable law.
We may remove listings/content and suspend or terminate accounts for violations.
10. Newsletters (Website)
If you subscribe to our newsletter on myemspath.com, you consent to receive emails from us. You may unsubscribe at any time using the link in the emails or by contacting us.
11. Third-Party Services and Links
The Services may include links to, integrations with, or listings from third parties (including job boards, employer websites, and training providers). We do not control third-party services and are not responsible for:
their content, accuracy, legality, or availability,
third-party terms or privacy practices, or
transactions you complete with third parties (including course registration/payment and job applications).
Your use of third-party services is at your own risk and subject to the third party’s terms.
12. Disclaimers
Educational/Informational Use Only. The Services (including career roadmap content) are provided for informational purposes and do not constitute legal, medical, licensing, or professional advice. You should confirm requirements directly with applicable authorities and employers/training providers.
No Guarantee of Outcomes. We do not guarantee job placement, hiring outcomes, certification approvals, training outcomes, or any specific results.
As Is. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
IN NO EVENT WILL myEMSPATH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Liability Cap (Individuals/Free Use). IF YOU ARE AN INDIVIDUAL USER AND YOUR USE OF THE SERVICES IS FREE, myEMSPATH’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED $100.
Liability Cap (Paid Accounts). IF YOU ARE A TRAINING CENTER OR EMPLOYER WHO PAYS FEES TO USE THE SERVICES, myEMSPATH’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID TO myEMSPATH IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless myEMSpath and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:
your use of the Services,
your User Content (including allegations it is inaccurate, unlawful, or infringes rights),
your violation of these Terms, or
your interactions or transactions with third parties.
15. Intellectual Property
Except for User Content, the Services and all content, features, and functionality (including software, designs, text, graphics, logos, and proprietary career roadmap content/assessments) are owned by myEMSpath or its licensors and protected by intellectual property laws.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as expressly allowed by these Terms or by law.
16. Brand Use by Employers/Training Centers
Subject to compliance with these Terms and any brand guidelines we provide, employers and training centers may use our name and logo solely to indicate participation in or use of the Services (e.g., “Listed on myEMSpath”), provided such use:
is truthful and not misleading,
does not imply endorsement beyond the relationship, and
is promptly stopped if we request it.
17. Suspension and Termination
We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms, created risk for us or others, or used the Services unlawfully.
You may stop using the Services at any time. For paid accounts, you remain responsible for fees incurred through the end of your billing period, and cancellation does not entitle you to a refund (except as required by law).
Sections that by their nature should survive termination will survive, including Sections 11–16 and 19–21.
18. Changes to the Services and Terms
We may modify or discontinue the Services at any time.
We may update these Terms from time to time. If changes are material, we will provide notice by posting the updated Terms and updating the “Last Updated” date, and/or by additional notice within the Services where reasonable. Your continued use of the Services after changes become effective means you accept the updated Terms.
19. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
20. Arbitration Agreement; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
20.1 Informal Resolution First
Before filing a claim, you agree to contact us at firstresponder@myemspath.com and provide a brief description of the dispute and the relief requested. We will attempt to resolve the dispute informally within 30 days.
20.2 Agreement to Arbitrate
Except for the exceptions in Section 20.3, you and myEMSpath agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules.
20.3 Exceptions (Small Claims; Injunctive Relief)
Either party may bring an individual action in small claims court if the claim qualifies and remains in small claims court.
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
20.4 Class Action Waiver
YOU AND myEMSPATH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
20.5 30-Day Right to Opt Out
You may opt out of arbitration by sending an email to firstresponder@myemspath.com within 30 days of first accepting these Terms, with the subject line “Arbitration Opt-Out” and including your name and the email address associated with your account. If you opt out, neither you nor myEMSpath can require the other to arbitrate disputes, and disputes will be resolved in court as set forth in Section 20.6.
20.6 Venue for Court Proceedings (If Arbitration Does Not Apply)
If a dispute is not subject to arbitration, you agree it may be brought exclusively in the state or federal courts located in New Castle County, Delaware (including Wilmington), and you consent to personal jurisdiction in those courts.
20.7 Severability of Arbitration Terms
If any part of this arbitration section is found unenforceable, the remainder will remain in effect, except that if the class action waiver is found unenforceable, the entire arbitration section will be null and void.
21. Miscellaneous
Entire Agreement. These Terms (and any policies referenced) are the entire agreement between you and myEMSpath regarding the Services.
Severability. If any provision is unlawful or unenforceable, the remaining provisions remain in effect.
No Waiver. Failure to enforce any provision is not a waiver.
Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control.
